Please read these Terms of Service (“Terms”) carefully before using the Mail Ward platform (the “Service”). By creating an account, accessing, or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

Eligibility

You must:

  • Be at least 18 years old
  • Have the authority to enter into a legally binding agreement
  • Use the Service for lawful business purposes only

We do not permit consumer or minor usage.

Account Registration

You must provide accurate and complete information when creating an account.

You are responsible for:

  • Maintaining account confidentiality
  • Restricting access to your credentials
  • All activity performed under your account

You must notify us immediately of any unauthorized access.

Acceptable Use

You agree not to:

  • Use the Service to send unsolicited commercial communications ("spam")
  • Validate lists obtained unlawfully or without consent
  • Interfere with or disrupt system integrity
  • Reverse-engineer or decompile any part of the Service
  • Attempt to bypass usage limits, rate limits, or security controls

We reserve the right to suspend accounts violating this policy.

Service Availability

We strive to maintain 99% uptime; however:

  • The Service may be unavailable during maintenance
  • We may modify, update, or discontinue features at any time

We are not liable for downtime, delays, or data loss caused by:

  • Internet provider failures
  • Hosting provider outages
  • Third-party dependencies

Payment, Credits & Billing

Paid services require a valid payment method via Stripe.

Credits:

  • Are consumed when screening email addresses
  • Are non-refundable once used
  • May expire after prolonged account inactivity

Failure to pay may result in service suspension.

Third-Party Integrations

Mail Ward integrates with third-party services such as Klaviyo, Stripe, Emailable, and Google OAuth.

We are not responsible for:

  • Data loss caused by third-party outages
  • Incorrect API configuration
  • Security breaches originating with third-party accounts

Your use of integrations is subject to third-party terms.

Intellectual Property

All content, trademarks, code, and documentation belonging to Mail Ward are protected by intellectual property laws.

You may not:

  • Copy or distribute the Service
  • Create derivative works
  • Use our branding without permission

Limited, revocable, non-exclusive access is granted solely to use the Service for your business.

User-Provided Data

By using the Service, you confirm that:

  • You have lawful authority to process uploaded email addresses
  • Your subscribers have consented to be contacted where required

We reserve the right to audit complaints regarding abuse or spam.

Data Processing

Personal Data is processed according to our Privacy Policy.

We do not permanently store email addresses imported for delivery validation.

A Data Processing Addendum (DPA) is available upon request for GDPR compliance.

Termination

We may suspend or terminate your access immediately if you:

  • Breach these Terms
  • Engage in abusive, fraudulent, or illegal activity
  • Pose a security risk to the platform

You may terminate your account at any time by emailing [email protected].

Upon termination:

  • Access to the Service ends immediately
  • Credits are forfeited
  • We may retain necessary billing records for compliance

Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis.

We disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of deliverability predictions

Email deliverability scoring is probabilistic by nature; we do not guarantee inbox placement.

Limitation of Liability

To the maximum extent permitted by law:

  • Mail Ward is not liable for indirect, incidental, punitive, or consequential damages
  • Total liability for all claims will not exceed the amount paid in the preceding 12 months

You agree to use the Service at your own risk.

Indemnification

You agree to indemnify and hold harmless Mail Ward, its owners, and employees from any claims, damages, or losses arising from:

  • Violation of these Terms
  • Unlawful or non-consensual email processing
  • Misuse of the Service

Changes to the Service or Terms

We may update these Terms from time to time.

When we do:

  • The revised version will be posted within the Service
  • The effective date will be updated

Continued use after changes constitutes acceptance.

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.

Any dispute shall be subject to the exclusive jurisdiction of English courts.

Export Compliance

You agree to comply with all applicable export control laws and regulations.

The Service may not be used in embargoed territories.
